Why Grammar Matters in Transactional Law

We have all heard the clichés on attention to detail. With this in mind it should be no surprise that transactional law is littered with stories of deals falling apart because of poorly drafted documents.

One example often mentioned is a deal that fell apart thanks to the placement of a comma. Poorly reviewed transactional matters also arise in the legislature. An example is the 2008 Nebraska Safe Haven law. For some reason the Nebraska lawmakers chose not to define the term “child.” This resulted in a number of teenagers being dropped off by their parents at hospitals in Nebraska.

With this in mind, always take the time to properly edit your work. Sometimes you need to run the text by someone with a critical eye. When doing this try to determine what could go wrong with the execution of the contract or statute.
